    Does anyone know of any penalty for a corporation that changes its registered agent and (for several years) never reports it to the NJ Department of Treasury?

    Any direct replies would be greatly appreciated. Thanks.

    Not sure what you mean by this.  The Dept of Treasury now controls corporate registrations and annual reports of all business entities.  In order to formally change a registered agent, a business entity must go online and pay a fee and enter the new registered agent information.  Without doing that the registered agent on the state's records IS the registered agent and is required to receive service of process for the business entity.

    I agree with Debra. The only penalties would be for failure to file the business's state annual reports. You can check to see if the Department of Treasury has any judgments against the business for years where the annual report was not filed if applicable.
