OUR MISSION

The Business Law Section provides regular informational and educational programs and publications concerning developments in New Jersey and federal laws and regulations affecting New Jersey profit and nonprofit business organizations (other than banking institutions). Maintains ongoing relations with other professional and business organizations, including the New Jersey Society of Certified Public Accountants and the New Jersey Corporate Counsel Association.

BUSINESS LAW SUBCOMMITTEES

Business Entity Committee
The committee examines the statutory basis for business entities in New Jersey as well as trends in other states. Recommends legislative changes and new laws to place New Jersey at the leading edge among all other states. Advises the membership and the rest of the New Jersey bar about important developments in the area through the use of programs and publications.

Business Taxation Committee
The purpose of the committee will be to provide support to practitioners with respect to federal, state, and local tax issues frequently arising in the context of business transactions, work with the legislative chairperson to consider and recommend legislation, regulations, and other administrative guidance to aid practitioners with respect to these issues, and function as a liaison between the Business Law Section and the Taxation Law Section.

Ethics and Professionalism Committee
The mission of the committee is to foster and improve ethical conduct, professionalism and civility of transactional attorneys in attorney-attorney, attorney-client and attorney-public relationships. The committee gathers and monitors developments in the ethics and professionalism arena within the State of New Jersey, other States and the American Bar Association, and provides a forum and resource for transactional practitioners. The committee also focuses on exploring and developing best practices and working principles for transactional attorneys, and proposes such practices and principles to the Board and to all members of the Business Law Section.

Family & Small Business Committee
The committee focuses on developments in the area of closely held and family owned businesses, including succession planning counseling, litigation, acquisitions and sales, corporate governance, and the business lawyer's interaction with other professionals.

Health and Hospital Committee
The committee focuses on existing and developing laws and cases, as well as legislative, regulatory and industry trends that affect the broad range of New Jersey healthcare providers, businesses and ventures, both for-profit and non-profit. The committee provides an avenue for discussion among practitioners who represent clients operating businesses or are otherwise involved in the health care arena. The committee also analyzes federal and state lawmaking efforts that could have a direct affect on the health care community.

Inn of Transactional Counsel Committee 
The mission of the Inn is to teach, learn, hone, and improve practice skills, share experiences with other members of the bar, foster collegiality, and promote excellence in the practice of law, as related to transactional matters. The Inn meets monthly. Programs are interactive with energetic input from all participants. Members are expected to lead or facilitate at least one program each year. There are occasional presentations by outside experts. There are currently two Inns in operation - one in the Bergen-Hudson region that meets in Hackensack, and the other in the Essex-Morris region that meets in Morristown and Roseland.

Intellectual Property and Privacy Law Committee 
The committee addresses intellectual property and privacy law issues of concern to business lawyers, with a particular emphasis on the role of IP in business transactions (e.g., stock and asset purchase agreements) and legal issues that apply to gathering, securing, maintaining and selling personally-identifiable information (e.g., privacy policy requirements) .  The committee also focuses on the measures that a business may take to procure, protect and enforce its IP (e.g. patents, trademarks, copyrights and trade secrets) and assess and mitigate the risk of infringing the IP of others.

ISRA & Environmental Issues Committee 
The committee provides a forum and resource for practitioners involved with environmental issues affecting businesses and transactions, including analyzing existing and proposed legislation, regulations, and guidance documents and where appropriate providing comments thereto, and proposed new legislation and/or legislative amendments to the Board where appropriate.

Labor & Employment Committee 
The committee explores the impact of labor and employment laws on the business law practitioner, covering areas that include employment, severance, and non-competition agreements in both the union and non-union context. The committee also examines litigation concerns such as wrongful termination, whistleblower, discrimination, prevailing wage, independent contractors and the WARN Act.

Litigation Committee 
The committee focuses on the principal areas of litigation affecting business entities, promotes the establishment of business courts and other effective means of resolving business disputes and monitors litigation developments affecting business.

Retail and Restaurant Industries Committee
The Committee focuses on legal issues that impact retail and restaurant clients, including commercial leasing, franchising laws, liquor licenses and IT issues.  Examples of recent issues are the chip reader credit card machines and recent state, federal and city menu labeling laws/requirements.  The Committee also addresses leasing issues pertaining to landlords and developers.

Securities and Corporate Practice/Governance Committee
The committee provides resources, as well as a forum, for exploring and commenting upon the regulatory scheme and processes involved in the private placement and public offering process, and in the continuing obligations of registered companies and their principal shareholders, officers and directors. The committee also monitors developments in corporate practice and governance and provides a forum and resources for practitioners involved with practice and governance issues affecting public and private business entities, the duties and responsibilities of directors, managers, officers and others to such entities and other constituencies. The committee makes legislative and regulatory proposals that have corporate governance implications.

Third Party Legal Opinions Committee  
The committee addresses issues relating to the negotiation and issuance of opinions to third parties in a multitude of transactions, issue reports and recommendations, provides seminars on such issues and acts as a resource to members of the New Jersey Bar faced with complex issues involving the issuance or acceptance of third party legal opinions.

Venture Capital, Emerging Growth Technology Companies and Angel Investors Committee
The committee provides a forum and resource to members of the New Jersey State Bar Association engaged in representing technology entrepreneurs, emerging growth technology companies, Angel investors and venture capital firms. The committee examines and monitors trends, current issues and other concerns affecting venture-backed companies. The convergence of corporate and intellectual property-related issues as they impact emerging growth companies is a focus of this committee.
